By registering for, accessing, or using Nexora IT Solutions services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use our services.
These terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Nexora IT Solutions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Service Description
Nexora IT Solutions provides the following services:
- Cybersecurity Operations: Managed detection and response, vulnerability scanning, threat intelligence, risk assessments, security awareness programs, and compliance alignment services
- Managed IT Infrastructure: Lifecycle management for networks, endpoints, servers, and collaboration suites with proactive monitoring, patching, asset management, and 24/7 help desk support
- Cloud Automation: Infrastructure-as-code pipelines, multi-cloud architecture design, CI/CD automation, and cost optimization services
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, for any reason including maintenance, updates, or business decisions.
3. Account Registration and Security
3.1 Account Creation
To access certain features of our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Security
You agree to:
- Immediately notify us of any unauthorized use of your account
- Use strong passwords and enable multi-factor authentication where available
- Not share your account credentials with third parties
- Take reasonable steps to prevent unauthorized access to your account
We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time if we believe you have violated these terms, engaged in fraudulent activity, or if required by law.
4. Subscription Plans and Billing
4.1 Service Plans
We offer various subscription plans (Essential, Premium, and Advanced) with different features and pricing. Current pricing information is available on our pricing page. Prices are subject to change with 30 days' notice.
4.2 Payment Terms
By subscribing to our services, you agree to pay all fees associated with your selected plan. Payments are due on a monthly basis unless otherwise specified. All fees are non-refundable except as expressly stated in these terms or required by law.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for the renewal amount. You may cancel your subscription at any time through your account settings or by contacting our support team.
4.4 Late Payments
If payment cannot be processed, we may suspend your access to services until payment is received. We reserve the right to charge late fees for overdue payments as permitted by law.
4.5 Refund Policy
We offer a 14-day money-back guarantee for new subscribers to our Essential, Premium, and Advanced plans. Refund requests must be submitted within 14 days of the initial subscription date. Custom enterprise solutions have separate refund terms outlined in your service agreement.
5. Acceptable Use Policy
You agree not to use our services to:
- Violate any applicable laws, regulations, or third-party rights
- Distribute malware, viruses, or other harmful code
- Engage in unauthorized access to systems or networks
- Interfere with or disrupt our services or servers
- Attempt to reverse engineer, decompile, or extract source code
- Use automated means to access services without permission
- Transmit spam, unsolicited communications, or fraudulent content
- Infringe upon intellectual property rights of others
- Engage in any activity that could harm our reputation or business interests
Violation of this policy may result in immediate termination of your account and legal action.
6. Intellectual Property Rights
6.1 Our Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and documentation, are owned by Nexora IT Solutions or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
6.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes in accordance with these terms. This license does not include the right to resell, redistribute, or create derivative works.
6.3 Your Content
You retain ownership of any data, content, or materials you submit to our services ("Your Content"). By using our services, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit Your Content solely to provide and improve our services.
7. Data Protection and Privacy
We take data protection seriously and process your personal information in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA. You are responsible for ensuring that any data you provide to us complies with applicable privacy laws.
We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
8. Service Level Agreement (SLA)
8.1 Uptime Guarantee
We strive to maintain 99.9% uptime for our services. If we fail to meet this commitment in any given month (excluding scheduled maintenance), you may be eligible for service credits as outlined in your service agreement.
8.2 Response Times
Support response times vary by subscription plan:
- Essential Plan: Email support with 24-hour response time
- Premium Plan: Priority support with 8-hour response time
- Advanced Plan: 24/7 priority support with 2-hour response time
8.3 Scheduled Maintenance
We may perform scheduled maintenance with advance notice. During maintenance windows, services may be temporarily unavailable. We will make reasonable efforts to schedule maintenance during off-peak hours.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXORA IT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) our services
- Any conduct or content of third parties on our services
- Unauthorized access, use, or alteration of your transmissions or content
- Security breaches or cyberattacks despite our reasonable security measures
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Warranties and Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- Our services will meet your specific requirements
- Our services will be uninterrupted, secure, or error-free
- The results obtained from using our services will be accurate or reliable
- Any errors in our services will be corrected
11. Indemnification
You agree to indemnify, defend, and hold harmless Nexora IT Solutions, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of our services
- Your violation of these terms
- Your violation of any rights of third parties
- Your Content or data submitted to our services
12. Dispute Resolution
12.1 Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
12.2 Arbitration Agreement
Any dispute arising from or relating to these terms or our services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California.
12.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
12.4 Exceptions
Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.
13. Modifications to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes by email or through our services at least 30 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the modified terms.
If you do not agree to the modified terms, you must stop using our services and cancel your subscription before the changes take effect.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to access and use our services will immediately cease.
14.2 Termination by Us
We may terminate or suspend your account immediately, without prior notice, if we believe you have violated these terms, failed to pay fees, or engaged in fraudulent or illegal activity.
14.3 Effect of Termination
Upon termination, all licenses and rights granted to you under these terms will immediately cease. We will provide you with reasonable opportunity to export Your Content. We are not obligated to retain Your Content after termination.
15. Third-Party Services and Links
Our services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, functionality, or practices of third-party services. Your use of third-party services is governed by their respective terms and privacy policies.
16. Export Compliance
Our services are subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer our services or any technical data derived from our services in violation of applicable export laws and regulations.
17. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, labor disputes, or internet service provider failures.
18. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
19. Entire Agreement
These terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Nexora IT Solutions regarding our services and supersede all prior agreements and understandings.
